P35 Logistics - Terms and Conditions of Service

These Terms and Conditions of Service ("Terms") govern all dispatching and backend office support services ("Services") provided by P35 Logistics ("P35," "we," "us," or "our") to any individual, company, or entity ("Client" or "you"). By engaging P35 Logistics for Services, you agree to be bound by these Terms.
1. Our Role and Definitions
P35 Logistics is a dispatching and backend office support service provider. We are not a motor carrier, freight forwarder, broker, shipper, or receiver. We do not transport, handle, or take possession of any goods. Our role is to provide administrative and organizational support to transportation businesses, assisting with the coordination and management of their operations.
**Carrier: The independent third-party trucking company or individual owner-operator that directly contracts with shippers/brokers and legally transports goods.
**Client: The Carrier (trucking company or owner-operator) engaging P35 Logistics for Services.
**Services: All dispatching, administrative, and backend office support services provided by P35 Logistics.
**Dispatching Services: Services related to the coordination of freight movements, including, but not limited to, finding and booking loads on behalf of the Client, communicating with brokers/shippers, negotiating rates (as authorized by Client), providing load details to Client, and assisting with route planning.
**Backend Office Support: Services including, but not limited to, administrative tasks, data entry, documentation management, billing and invoicing support, customer service support, compliance assistance, and other related administrative functions.
**Broker/Shipper: The entity offering loads for transportation, with whom the Client (Carrier) directly contracts for freight movement.
2. Scope of Services
P35 Logistics provides comprehensive dispatching and backend office support services, which may include, but are not limited to:
**Sourcing and negotiating freight loads with brokers/shippers on behalf of the Client, based on Client's preferences and authorization.
**Communicating load details, pickup/delivery instructions, and special requirements to the Client.
**Assisting with route optimization and planning.
**Providing support for real-time load tracking and communication with brokers/shippers.
**Assisting with issue resolution during active loads (e.g., delays, re-routes) in coordination with the Client and broker/shipper.
**Backend Office Support Services:
**Administrative assistance (e.g., scheduling, record keeping, email management).
**Data entry and database management.
**Documentation preparation and processing (e.g., Bill of Lading verification, proof of delivery management, creating invoices).
**Billing and invoicing support (e.g., generating invoices to brokers/shippers, reconciling payments, managing accounts receivable).
**Accounts payable/receivable support for Client's operations.
**Customer service support (e.g., handling basic inquiries, providing shipment updates to Client's customers/brokers).
**Report generation and analysis for Client's operations.
**Compliance documentation assistance (e.g., assisting with IFTA reporting, DOT compliance paperwork – Note: P35 does not provide legal or tax advice).
**Other mutually agreed-upon administrative or support tasks.
3. Client Responsibilities
3.1. Authorization and Authority: You represent and warrant that you are a duly authorized and properly licensed motor carrier or owner-operator. You grant P35 Logistics explicit authority to act on your behalf for the limited purpose of performing the agreed-upon Services, including communicating with brokers/shippers and negotiating rates as per your instructions.
3.2. Accurate Information & Instructions: You are solely responsible for providing P35 Logistics with accurate, complete, and timely information and instructions necessary to perform the Services. This includes, but is not limited to, your availability, truck and driver details, desired lanes, rate requirements, insurance information, broker/shipper account details, and all data for backend office tasks. P35 Logistics is not responsible for any errors, delays, or issues arising from inaccurate, incomplete, or untimely information provided by you.
3.3. Direct Responsibility for Transportation: You, as the Carrier, remain solely responsible for the safe and lawful transportation of all goods, compliance with all applicable federal, state, and local laws, regulations (including DOT, FMCSA), obtaining all necessary permits, maintaining proper insurance coverage, and ensuring the safety and conduct of your drivers and equipment. P35 Logistics does not assume any responsibility for the physical execution of transportation.
3.4. Direct Contracts with Brokers/Shippers: All freight contracts, Bill of Ladings, and agreements for the actual transportation of goods are directly between you (the Carrier) and the broker or shipper. P35 Logistics is not a party to these transportation contracts.
3.5. Verification of Load Details: You are responsible for reviewing and confirming all load details, rates, pickup/delivery times, and any special instructions provided by P35 Logistics, prior to accepting any load. Your acceptance of a load constitutes your agreement to its terms.
3.6. Broker/Shipper Payment: You are solely responsible for ensuring payment from brokers/shippers for services rendered. While P35 Logistics may assist with invoicing and payment tracking, we do not guarantee payment from third parties.
3.7. Access and Security: You must provide necessary and secure access to your systems, portals, or information (e.g., ELD access, TMS access, broker portal logins) required for P35 Logistics to perform the Services. You are responsible for the security of your own systems and credentials.
4. Payment and Charges
4.1. Rates: Services will be charged at the rates agreed upon in writing between P35 Logistics and the Client. Rates are subject to change with prior notice.
4.2. Invoicing and Payment Terms: Invoices will be issued [e.g., weekly, bi-weekly, monthly] for Services rendered. Payment is due within [Number] days from the invoice date, unless otherwise specified in a separate agreement.
4.3. Late Payments: Overdue payments may be subject to a late payment fee of [Percentage]% per month or the maximum rate permitted by law, whichever is less, on the outstanding balance. You are responsible for all costs of collection, including reasonable attorney's fees.
4.4. Additional Charges: You agree to pay for any additional charges incurred, including but not limited to, out-of-scope requests, revisions due to inaccurate initial data, or expedited processing requested by you.
5. Limitation of Liability
5.1. P35 Logistics' Role & Non-Liability for Transportation: As P35 Logistics is solely a dispatching and backend office support service provider and is not a carrier, broker, shipper, or receiver, P35 Logistics shall have no liability for any loss, damage, delay, misdelivery, or non-delivery of Cargo, or for any claims arising from the actual transportation, handling, or storage of goods. All such liability rests solely with the Carrier and/or the responsible broker/shipper.
5.2. P35 Logistics' Liability for Services: P35 Logistics' total liability for any claim arising out of or related to these Terms or the Services (excluding physical transportation of goods), whether in contract, tort (including negligence), or otherwise, is limited to the amount of the fees paid by you to P35 Logistics for the specific service directly giving rise to the claim or $[Specify a Dollar Amount, e.g., 500.00], whichever is less, unless otherwise agreed in writing.
5.3. Exclusion of Damages: P35 Logistics is not liable for indirect, incidental, consequential, special, or punitive damages, including but not limited to, lost profits, loss of business, downtime, loss of data, or loss of use, regardless of whether P35 Logistics was advised of the possibility of such damages.
5.4. No Guarantees: P35 Logistics does not guarantee any specific number of loads, revenue, or business results from its Services. Our dispatching services are designed to assist you in finding loads; the final decision to accept any load rests with you.
5.5. Force Majeure: P35 Logistics shall not be liable for any failure or delay in performance of Services due to circumstances beyond our reasonable control, including but not limited to, acts of God, war, terrorism, civil commotion, strikes, labor disputes, natural disasters, epidemics, pandemics, government acts, or disruptions in communication networks or software systems.
6. Data Security and Confidentiality
6.1. Confidentiality: P35 Logistics will treat all Client data and information as confidential and will not disclose it to third parties except as necessary to provide the Services, as required by law, or with your explicit consent.
6.2. Data Security: P35 Logistics will implement reasonable administrative, physical, and technical safeguards to protect Client data entrusted to us for Services. However, you acknowledge that no data transmission or storage can be guaranteed to be 100% secure. You are responsible for the security of your own systems, credentials, and for backing up your critical data.
7. Indemnification
You agree to indemnify, defend, and hold harmless P35 Logistics, its officers, directors, employees, agents, and affiliates, from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney's fees) arising out of or in connection with:
**Your breach of these Terms.
**Your negligence or willful misconduct.
**The inaccurate, incomplete, or fraudulent information provided by you.
**Your failure to comply with applicable laws, rules, or regulations related to your transportation operations or business.
**Any claims by third parties (including brokers, shippers, receivers, or governmental authorities) directly related to your transportation of goods or your performance as a Carrier.
**Any claims arising from your use of, or inability to use, any load accepted through our dispatching services.
8. Governing Law and Dispute Resolution
8.1. Governing Law: These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of [Your State], without regard to its conflict of law principles.
8.2. Jurisdiction: Any dispute arising out of or relating to these Terms or the Services provided by P35 Logistics shall be subject to the exclusive jurisdiction of the state and federal courts located in Boundary County, Idaho.
8.3. Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be settled by arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The arbitration shall be conducted in Boundary County, Idaho. The decision of the arbitrator(s) shall be final and binding upon both parties.
9. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
10. Entire Agreement
These Terms and Conditions constitute the entire agreement between P35 Logistics and the Client with respect to the Services and supersede all prior or contemporaneous communications, understandings, and agreements, whether oral or written

P35 Logistics reserves the right to amend these Terms and Conditions at any time by posting the revised Terms on its website or providing written notice to the Client. Your continued use of our Services after such amendments constitutes your acceptance of the revised Terms
12. Waiver
No waiver of any provision of these Terms by P35 Logistics shall be effective unless made in writing and signed by an authorized representative of P35 Logistics.
