By engaging P35 Logistics for services and/or remitting payment, the Client agrees to the following terms and conditions:
1. Payment Due Date:
All invoices are due and payable within 3 days from the Invoice Date, unless otherwise specified in a separate written agreement.
2. Payment Methods:
P35 Logistics accepts payment via bank transfer, check, and secure online payment through our designated payment portal accessible at https://invoice.zohosecure.com/portal/p35logistics1/signin. Please refer to your invoice for detailed payment instructions.
3. Late Payments:
A late payment charge of 5% will be applied to all overdue balances each day from 7 days past the due date until paid in full. In the event of late payment, P35 Logistics reserves the right to suspend further services until all outstanding balances are settled.
4. Disputed Invoices:
Any discrepancies or disputes regarding an invoice must be reported to P35 Logistics in writing within 3 days of the Invoice Date. Failure to do so will constitute acceptance of the invoice as accurate and payable.
5. Collection Costs and Legal Fees:
In the event that an invoice remains unpaid after the due date, P35 Logistics reserves the right to pursue all available legal remedies to collect the outstanding balance. The Client agrees to pay all costs incurred by P35 Logistics in collecting overdue amounts, including but not limited to, reasonable attorney's fees, court costs, and collection agency fees. Prior to initiating any legal action or referring the debt to a collection agency, P35 Logistics will make a reasonable attempt to notify the Client of the outstanding debt.
6. Service Scope and Deliverables:
Services provided are as outlined in the mutually agreed-upon service agreement, proposal, or statement of work. P35 Logistics will use reasonable care and skill in performing the services.
7. Confidentiality:
Both P35 Logistics and the Client agree to maintain the confidentiality of all proprietary and confidential information exchanged during the course of their business relationship.
8. Limitation of Liability:
P35 Logistics' liability for any claim arising from or related to the services provided, whether in contract, tort (including negligence), or otherwise, shall be limited to the amount paid by the Client for the specific services giving rise to the claim. P35 Logistics shall not be liable for any indirect, incidental, special, or consequential damages.
9. Governing Law and Jurisdiction:
These terms and conditions shall be governed by and construed in accordance with the laws of the State of Idaho, without regard to its conflict of law principles. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the courts located in Boundary County, Idaho.
10. Entire Agreement:
These terms and conditions, together with any applicable service agreements or proposals, constitute the entire agreement between P35 Logistics and the Client with respect to the subject matter hereof and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.
11. Amendments:
These terms and conditions may only be amended or modified in a writing signed by both P35 Logistics and the Client.
12. Severability:
If any provision of these terms and conditions is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
